Top managers at VTC Inc. plan to form a new silicon foundry venture after the company announced it will sell its disk-drive chip business to Lucent Technologies Inc. for $100 million in cash. The new company will serve both Lucent and other foundry customers, using VTC's 6-in.-wafer fab and analog-chip processes.

Under the agreement announced Friday, VTC will sell its process technology to Lucent Microelectronics, which will then license it back to the new foundry company, based in Bloomington, Minn., said Mark Granahan, general manager of Lucent's analog-products business. Lucent will implement the technology in its own wafer fabs to produce the acquired VTC products, which include preamplifier circuits for hard drives.

We will have a dual source for all of the products,” said Granahan, referring to Lucent's own fabs and the foundry services of VTC's manufacturing operations.

VTC officials said a new name for the foundry company is under consideration. The chief executive of VTC, Larry Jodsaas, will become the chairman and chief executive of the new company. Gregory Peterson will remain with the new company as president, chief operating officer, and chief financial officer.

VTC's main technology is an analog BiCMOS process with high-speed pnp and npn bipolar transistors and 0.5-micron CMOS feature sizes, Granahan said. The analog process supports breakdown voltages of about 10 V, he said.

I don't see a capacity issue at all in the near future,” said George Scalise, SIA president, during a press briefing Monday in New York.

The last severe capacity crunch came in 1994 and 1995, when the semiconductor industry went through its last boom and reached revenue high-water marks that are just now being topped (see Feb. 7 story ). In previous upward cycles, the chip industry encountered capacity shortages and added new capacity quickly, only to suffer the consequences of overcapacity when the downturn hit with particular force in 1997 and 1998.

Also, U.S. chip makers are growing more comfortable with a mix of their own fab manufacturing and outsourcing. Zilog Inc., for instance, has been upgrading its Nampa, Idaho, fab but has a foundry fallback” as well, said Jeff Weir, director of public communications at the Campbell, Calif., processor maker. We couldn't afford a new fab and there's no need for one,” he added.
